October begins our officer nominations and qualifying for the 2024 Board of Directors. Send your intentions or nominations to the club email at GeorgiaFieroClub@Gmail.Com, beginning October 1.
The regular October monthly meeting is scheduled for October 14. Luckey's BBQ, 2365 Powder Springs Road, Marietta.

Since no one has indicated they are willing to hold a position, I think it might be a good idea for as many as possible to attend the Saturday business meeting.

Voting on the new board doesn't take place until the December meeting, so nominations and volunteers are still accepted until that meeting when the new officers should be named. If there aren't enough, then we need to go in a different direction, and that needs to be discussed at the November meeting.

§ 14-3-803. Number of Directors
Universal Citation: GA Code § 14-3-803 (2022)
A board of directors must consist of one or more natural persons, with the number specified in or fixed in accordance with the articles or bylaws.
The articles or bylaws may authorize the members of the board of directors to fix or change the number of directors or may establish a variable range for the size of the board of directors by fixing a minimum and maximum number of directors. If the variable range is established, the number of directors may be fixed or changed from time to time, within the minimum and maximum, by the members, or if the articles or bylaws so provide, by the board of directors.

The current bylaws specify 5, but as you indicate, it can be any number if we desire to change it. The members would need to vote to change it then the change would need to be sent to the Secretary of State's office.
In Article 5, Section 1 of the bylaws it says that the board SHALL be comprised of 5 members. Shall means mandatory. If we change it to MAY with a minimum and maximum, then we can vary the number. May is discretionary.

I volunteer as a board member if needed but it must be understood I can only commit to attending 2 meetings a year. My daughter has moved back to New Orleans and I would have to plan any trips back to Atlanta as “Fiero vacations.” Actually that doesn’t sound too bad!
