The Board of Directors members are required to meet for only 2 meetings per year. The charter doesn't require them to attend every monthly meeting. One meeting is in November to hold the election of club officers and the other is in December to install those officers for the following year.
Special called meetings for other matters may be called, but as long as we have 3 Directors present, as we had last month to discuss the Joel Project, we can hold a Board meeting.
Neither do club officers need be present for every meeting. The President presides, but in the President's absence, the Vice-President is charged with conducing the monthly meeting. The Secretary-Treasurer isn't required to attend meetings unless asked by the President, Vice President or Board of Directors, but it's good that elected officers attend as much as possible. Same with the Directors so you can stay abreast of club business and happenings.
